IMPORTANT : Supporthelp is a Tech Support Site offering help online. The agreement is between Supporthelp and you the subscriber. Ensure that you read through these terms and conditions carefully prior to applying for, accepting, using or subscribing to the Supporthelp services. By using, applying for, or purchasing the services or by accepting these terms and conditions by clicking on “I ACCEPT” below, you agree that you have read through all the terms and conditions, you understand them, agree with them and accept them as they are herein. Should you not agree with the terms and conditions as outlined, do not click on the “I ACCEPT” option and do not apply for, accept, use or purchase the services provided. Instead, click on “DECLINE” below. The services are for a limited time only. If you fail to use the services during the subscription period, you shall not have grounds for a refund of any fees paid. The terms and conditions set forth below constitute an agreement that is brining between you (the subscriber) and Supporthelp with respect to your purchase or use of the services. TO use these services, you must agree to the terms and conditions. Any failure to abide by these shall void any and all obligations of Supporthelp hereunder.

1. Definitions

“Supporthelp Web Site” means the Supporthelp web site that provides services to the subscriber. The Supporthelp web site has information on prices and other details about the services that are on offer. Services may not be available separately and there is no guarantee that services will be available all the time. “Malware” is a term that refers to diagrams or files that have been identified by Supporthelp, in our sole and absolute discretion as being dangerous or harmful to standard operation of your PC. “Services” means Supporthelp, which are Supporthelp chat and phone based computer optimization and cleaning services as set forth on the Supporthelp web site. The services that are available include virus removal, virus diagnoses, internet login protection, PC tune-up, software installation, email account setup, printer support, printed setup and general computer trouble shooting services. The general scope of the services that are on offer are subject to changes without any notice, and Supporthelp may modify or discontinue the services in its sole discretion. “Software” refers to any software that is being used by Supporthelp in connecting with the various services. “Subscription Period” refers to the time period when the subscriber is eligible to get the services. The subscription period will start on the date the services have been subscribed to and will stop one year after this period or one the time that has been specified in the chosen package.

2. General

The services available are provided using the internet, phone and Onsite desktop support. Services are given once the subscriber gets in touch with technical support personnel from Supporthelp as explained on the Supporthelp web site. Subscriber authorizes Supporthelp to configure its computers and then delete the files that Supporthelp considers to be of no used for the computer to operate well. Subscriber allows Supporthelp total permission to change the registry of any computer receiving the Services as they are needed to ensure provision of the services. The services may need additional software. Subscriber gives Supporthelp total permission to install, configure, and use such software on subscriber’s computers.

3. Access

To provide the services that are available, Supporthelp should access a computer receiving the services over the internet. The subscriber should assist Supporthelp in any manner required to diagnose the computer and then offer the services. Should you fail to fully cooperate with the Supporthelp representatives needs to be considered a breach of the agreement. Every instruction and step that is taken to provide the services will be left to the sole discretion of the Supporthelp. Subscriber warrants that using the services complies with all the applicable computer and network policies. Prior to receiving the services. Subscriber needs to have administrator rights to the computer, have a backup of all the data on the computer and give the Supporthelp with the right and accurate information.

4. Limitations

The services are subject to change without any notice. The services do not in any way cover repair of hardware or profits that have been lost or expected. Supporthelp does not guarantee that there will be no loss of any file, information, or date. Subscriber is solely responsible for backing up and safely storing its information, data and files. Supporthelp does not promise that it will be able to recover any data that has been lost or corrupted, deleted or lost, damaged or lost personal files.

5. Services

5.1 General

The services that are provided only over internet chat and the access to the internet is needed or required to get these services. A broadband internet connection needs to be in place to order for Supporthelp to deliver the services. Subscriber is solely responsible for giving a broadband internet connection and access to its computers. Any interruption or disconnection to the internet may limit the ability of the subscriber to receive the services. Supporthelp makes no warranties or representations about the availability of quality of the services or that the services will be performed in a timely manner. Subscriber authorizes Supporthelp to accept, download, install and make use of Software and third party software on its behalf.

5.2 Quality of Services

All services that will be provided to be commercially viable. Supporthelp does not offer any representations or warranties that efforts which are commercially viable will provide restoration for the computer to a working state, remove any viruses or problems, that all the operations of your computer will be fully functional, or that the services will elevate or modify the efficiency of speed of the computer.

6. Limitations to Services

The scope and extent of the services that we offer are limited to the options which are selected by the subscriber when they are registered for the services. The performance scope of the services will be provided in any manner that Supporthelp sees fit. Supporthelp does not guarantee that any of the services shall be available or offered in all cases. Supporthelp has no warranties or representations regarding the availability or the provisions of the services,

7. Special Promotions

Supporthelp will on occasion offer special promotions for the services that are on offer, which also include a free thirty-day trial period. If a subscriber registers for a special promotion for the services, Supporthelp may still gather payment information from the subscriber. Generally, you need to provide some credit card information so as to gain access to a free trial. Nonetheless, there are no charges that will be made to the credit card until the period for the trial has come to an end. When the trial period comes to an end, the subscriber will automatically be billed for the services to which is has subscribed during the free trial sign-up unless Supporthelp is notified by email through the email address that has been given during the registration for the services of subscriber’s cancellation of the services. Annual subscriptions should expire one year from the end of the trial period. Supporthelp will have no obligation to offer further notice to subscriber of a trial period’s expiration or before the credit card of the subscriber is billed for the services. Subscriber is totally responsible for making sure that it unsubscribes from any unwanted services before the end of the trial period. No refunds are to be given for a failure to cancel their services. Free trials and other promotional offers are limited to one for each subscriber. Supporthelp keeps the right to deny or refuse a free trial at any time for any reason.

8. Term and Termination

Services that are single use will expire once the session with the Supporthelp technician’s representatives terminate. For services that are based on subscription, this agreement shall effective from the time that registration starts and will automatically renew at the end of the first purchased plans tenure. You will find that Supporthelp technicians may cancel services that are on offer at any time at their total discretion if they determine that the subscriber’s usage of the services is excessive, inconsistent with the scope of the services or being inappropriate. Take note that the natural expiration of this agreement may not be stated, and the technicians from Supporthelp are not to be held liable in the event that there are damages which could result in the termination or the expiry of the agreement. The subscriber may buy more subscriptions to the services through the Supporthelp web site. If there is a breach in the agreement, the immediate result shall be termination of the subscription from the subscriber to the services, and this will limit the access that the subscriber has to them. There will be no refunds given when the agreement is terminated.

9. Payment

The subscriber will make payment to Supporthelp at the amount that has been put forward on the web site. The amount needs to be paid in full to facilitate the receipt of the services.

10. Renewal Policy

You hereby agree and acknowledge that a subscription under the payment plan that recurs will automatically be renewed at the end of the purchase plan that was originally set, unless one has been notified otherwise by You (“Auto Renewal”). The credit card which you used in making payment for the original plan shall be the one that is used to charge the amount of the prevailing subscription charges as per the payment option that you chose during registration. 11. Privacy

The information that has been put together and utilized by Supporthelp is governed by the Supporthelp privacy policy. The agreement also includes the Supporthelp policy for privacy. When you accept this agreement, you as the subscriber are acknowledging that you have read, understood and accepted the privacy policy. Supporthelp representatives may have to access your system in order to download, use or run software for the purpose of helping you to diagnose what the problems could be, and then to resolve them. Such software should also include utilities, toolbars and a host of other tools that enable Supporthelp to elevate the performance of their computer and resolve problems that are technical (collectively, the Diagnostic Software). Using all Diagnostic Software is subject to the agreements in the license and the terms and conditions that are linked with Diagnostic Software. The Subscriber should be linked by all such license agreement. Supporthelp may record as well as monitor all the touch points for the customer, including calls that are coming in and out, Onsite support that is conducted through an onsite visit session, conversations on email and transcripts through chat. These recordings are mainly for elevating customer service, building up training, and market research that is internal. Supporthelp may share these recordings and any other information that they have to satisfy any regulation, law or request from the government to operate the services well or to protect ourselves and the customers of Supporthelp.

12. Disclaimer

ANY SOFTWARE THAT IS GIVEN TO THE SUBSCRIBER “AS OS” BY SUPPORTHELP TECHNICIANS, AND ANY SOFTWARE THAT IS USED IS AT THE RISK OF THE SUBSCRIBER. THE SOFTWARE MAY HAVE BUGS WITHIN IT, ERRORS AS WELL AS OTHER ISSUES THAT COULD RESULT IN THE FAILURE OF YOUR SYSTEM AND THE LOSS OF DATA. SUPPORTHELP DOES NOT WARRANT THAT THE PERFORMANCE OF ANY SOFTWARE AND DOES NOT WARRANT THAT ANY OF THE SOFTWARE WILL OPERATE SUBSTANTIALLY IN LINE WITH THE DOCUMENTATION THAT COMES WITH THE SOFTWARE. TO THE TOTAL EXTENT THAT IS ALLOWED BY THE LAW, SUPPORTHELP DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER IT IS IMPLIED OR EXPRESSED IN EQUITY OR IN THE LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A SPECIFIC PURPOSE, QUALITY AND NON-INFRINGEMENT. SUPPORT TECH DOES NOT WARRANT THAT THE SERVICES WILL MEET ALL THE REQIUREMENTS OR REQUIRES SUBSCRUBER MAY HAVE OR THAT THE SERVICES WILL BE GIVEN IN AN UNINTERRUPTED FASHION. SOME AREAS WILL NOT ALLOW THE WAIVER OR EXCLUSION OF IMPLIED WARRNATIES SO THEY MAY NOT APPLY.

13. Limitation of liability

WITH THE EXCEPTION OF WHAT HAS BEEN EXPRESSED CLEARLY HEREIN, SUPPORTHELP AND ALL THE AFFILIATES, AGENTS, EMPLLOYEES, SUPPLIERS AND LICENSORS WILL NOT BE HELD LIABLE FOR (1) ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNATIVE OR CONSEQUENTIAL DAMAGES RESULTING FROM (A) USING SERVICES, (B) ALL MALWARE THAT YOU CAN FIND ON A COMPUTER, (C) ANE DELAY OF INABILITY TO CLAIM OR EVEN USE THE SERVICES, (D) ANY INFORMATION, SERVICES OR PRODUCTS THAT HAVE BEEN PROCURED WHEN CONENCTED TO THE SERVICES, (E) UNAOTHORIZED THIRD PARTY ACCESS TO A COMPUTER. SUPPROTHELP IS NOT LIABLE FOR THE COSTS OF PROCURING GOODS OR SERVICES THAT SERVE AS A SUBSTITUTE. THESE LIMITATIONS APPLY WHETHER ANY CLAIN IS BASED ON CONTRACT, STRICY LIABILITY, TORT OR OTHERWISE AND APPLY EVEN IF SUPPORTHELP. THE AFFILIATES, OR THEIR EMPLOYEES, LICENSORS, AGENTS OR SUPPLIERS HAVE BEEN ADVISED OF THE CHANCE OF ANY DAMAGES. IN NO EVENT WILL SUPPORTEHLP TAKE TOTAL LIABILITY FOR ALL THE CLAIMS THAT ARE COMING FROM OR RELATED TO THE SERVICES EXCEED THE FEES PAID BY SUBSCRUBER TO SUPPORTHELP FOR THE SERVICES.

14. Unlimited Support for Fair Usage Policy

Subscribers have the right to ask for ‘unlimited support’ when they are within the subscription period. The unlimited plan makes sure that you can access a toll-free number and an unlimited number of support sessions during the entire period for the subscription, subject to specific restrictions. Your use of our services is also subject reasonable use limitations. Reasonable use refers to the use of the service that does not materially impair Supporthelp’s ability to give their service to other customers. Should you use the service and you go beyond four times the average monthly usage of all other Supporthelp unlimited plans, it is presumed that you have violated our Fair Usage policy. Support sessions are limited to technical support queries only, nonetheless, Supporthelp technicians may at their sole discretion make the decision to provide assistance related to application usage “how to support” type queries. All subscribers use of the support services are subject to Supporthelp’s “fair use” policy. With this policy, should at any time, based on the discretion of the Supporthelp techs, a subscriber is found to be abusing the service by exceeding the level of use reasonably expected from a Subscription based Plan, then Supporthelp holds on to the right to terminate or suspend subscriber’s subscription services or immediately convert your unlimited plan to a per incident plan and then make the charges accordingly. Supporthelp may also hold on to the right to suspend as well as terminate any subscriber that Supporthelp, in its own discretion is determined to being used (a) fraudulently, (b) by any person instead of your subscriber, or (c) for any computer system instead of a system that is registered. User may stop suing the service at any time by providing notice that has been written or electronic to Supporthelp, provided, that the user will not be entitled to a refund of any fees that were prepaid for the service.

15. Force Majeure

Supporthelp technicians are not responsible for the cessation of your services, or the delay or interruption in them as well, Neither are we responsible for the performance of its obligations, such as due to an earthquake, fire, flood, storm, natural disaster, war, act of God, terrorist action, armed conflict, public enemy, boycott, lockout, toxic substances, release of hazardous, accident, explosion or any other causes whether or not of the same class or kind as those specifically above named, which are not within the reasonable control of a party. Supporthelp is not liable for any failure or delay that has been caused by issues with connections on the internet.

16. Governing Law; Venue

Subscriber and Supporthelp are in agreement that in the event of any disagreement as can be seen within this agreement in every respect and put together in accordance with the current laws. Any actions that come from or a based totally or partly on this agreement need to be brought into the courts designated at the time of the dispute.

17. Entire Agreement

This agreement makes up the total agreement that exists between both the parties. If there is anything within this agreement that has been waivered, it will only be effective it this is done in writing, and signed off by the parties involved. Supporthelp may change, modify, amend, suspend or discontinue any part of the services at its discretion, including the prices, the scope of the service, its web site and the other services that are made available in the plan for subscription. Such changes shall be made without any liability or notice to the subscriber or any third party. Supporthelp may impose certain limits on certain features of these services at our discretion. The amended copy of this agreement may be made public by Supporthelp on the site at any time. Any amendments that are made in Supporthelp are binding and at your sole discretion. The subscriber should review the agreement at various periods to note any changes that may arise. Continued usage of the services constitutes acceptance of any changes. Section heading are for the purpose of convenience only and will not be considered when this agreement is being interpreted. Supporthelp is not help accountable by any representation of (i) any agent, employee or representative of any third party, or in (ii) information posted on Supporthelp web site of an information that is general in nature.

18. Notices

The subscriber shall make demands, notes or requests with regards to this agreement in writing only. Notices to the subscriber will be done through posting notices on the Supporthelp web site. The subscriber hereby agrees to consistently check up on the Supporthelp website to be aware of any notifications or amendments that arise.

19. Survival

The provisions that have been made in regard to the proprietary rights, warranty disclaimers, indemnity, and limitation on actions that will survive this agreement.

20. Limitations on Actions

Neither the subscriber or Supporthelp may bring any action, no matter what the form is, coming from or not relating to this agreement more than three months after the cause of action has accrued.

21. Assignment

The subscriber is entitled to making use of the subscription for personal use, but are not entitled to sell the subscription to other parties in any way, nor to rent, transfer or lease the rights or obligations under this agreement without first getting Supporthelp written consent. Subscription is transferrable from the registered device to one more device, maximum of once per year. Each extra transfer will attract an additional cost. If there is an attempt to assign or transfer the rights and interests granted herein shall make the agreement voidable in Supporthelps discretion. Supporthelp can choose to transfer and assign its obligations under this agreement as best considered.

22. Acceptance

BY CLICKING ON THE ‘I ACCEPT’ OPTION BELOW, YOU AGREE THAT YOU HAVE GONE THROUGH AND FULLY UNDERSTOOD THE TERMS AND CONDITIONS ASSOCIATED WITH THE SERVICES. DO NOT CLICK THE BUTTON THAT SAYS ‘I ACCEPT’ IF FOR ANY REASON, YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS.
